Shogun Digital Agency provides digital marketing services including but not limited to website design and development, brand identity and logo design, search engine optimization, paid advertising management, content writing, and social media management.
The specific scope, deliverables, timeline, and pricing for each project are outlined in a separate proposal or service agreement provided to the client prior to commencing work. These Terms and Conditions apply in addition to any such agreement.
2. Client Responsibilities
Clients are responsible for providing accurate and complete information required for the completion of their project, including written content, images, branding assets, and any relevant business information unless content creation is included in the agreed scope of work.
Clients are responsible for reviewing and approving deliverables in a timely manner. Delays caused by late client feedback or approval may affect project timelines and are not the responsibility of the agency.
3. Payment Terms
Payment terms are outlined in the project proposal or service agreement. Unless otherwise agreed in writing, a deposit is required before work begins, with the remaining balance due upon project completion or as outlined in the agreed payment schedule.
All fees are quoted in the currency specified in the proposal. Late payments may be subject to interest charges as outlined in the service agreement. We reserve the right to pause or suspend work on any project where payment obligations are not met.
4. Revisions and Approvals
The number of revision rounds included in each project is outlined in the relevant proposal or service agreement. Revisions beyond the agreed scope may be subject to additional charges, which will be communicated and agreed upon before additional work is undertaken.
Client sign-off or written approval at each project milestone constitutes acceptance of that stage of work. Changes requested after approval may be treated as new work and scoped accordingly.
5. Intellectual Property
Upon receipt of full payment, the client will own the final deliverables produced specifically for their project, including website design files, logo files, and written content created as part of the agreed scope.
We retain the right to display completed work in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project commencement.
Any third-party assets used in a project — including stock photography, fonts, plugins, or software — remain subject to their respective licensing terms. We will inform clients of any such assets and associated licensing requirements.
6. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of the engagement and not to disclose such information to third parties without prior written consent, except as required by law.
7. SEO and Marketing Results
While we apply proven strategies and best practices across all SEO and marketing services, we do not guarantee specific ranking positions, traffic volumes, or business outcomes. Search engine algorithms and market conditions are outside our control and can affect results. We are committed to transparent reporting and continuous optimization throughout every engagement.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Shogun Digital Agency shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability to any client in connection with a project shall not exceed the total fees paid by the client for that specific project.
9. Termination
Either party may terminate a project or service engagement by providing written notice as outlined in the relevant service agreement. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. Deposits are non-refundable unless otherwise specified in the service agreement.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with applicable law. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation in the first instance, and through appropriate legal channels if resolution cannot be reached.
11. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. Changes will be posted on this page with a revised date. Continued use of our website or services following any changes constitutes acceptance of the updated terms.
